1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Progressa platform ("Service"), operated by Progressa Ltd ("we", "us", "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

"You" refers to the individual or organisation accessing or using the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Progressa is a cloud-based training management platform that enables training companies to manage courses, bookings, delegates, financial records, certificates, and automated communications. The Service includes web-based applications, APIs, embeddable widgets, and related support services.

3. Account Registration

To use the Service you must create an account via our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete registration information and keep it updated.

You must be at least 18 years old and have the legal capacity to enter into these Terms.

4. Subscriptions and Payment

The Service is offered on a subscription basis. Pricing is published on our website and may be updated from time to time with 30 days' notice. All prices are in British Pounds (GBP) and exclusive of VAT where applicable.

  • Free trial: New accounts receive a 14-day free trial. No charge is made until the trial period ends.
  • Billing: Payments are processed via Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring basis (monthly or annually).
  • Seat-based pricing: Your subscription includes a set number of team seats. Additional seats are billed at the per-seat rate for your plan.
  • Cancellation: You may cancel your subscription at any time from your account settings. Access continues until the end of your current billing period. No refunds are provided for partial periods.
  • Failed payments: If a payment fails, we will notify you and may restrict access after a grace period. Your data will be retained for at least 90 days after account suspension.

5. Your Data

You retain ownership of all data you upload to or create within the Service ("Your Data"). You grant us a limited licence to process Your Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Data for any purpose other than operating the Service.

You are responsible for ensuring you have the right to upload and process any personal data through the Service, including obtaining appropriate consents from your delegates and contacts.

6. Delegate Data Processing

When you use the Service to manage delegate information (names, email addresses, booking records, accessibility requirements, feedback), we act as a Data Processor on your behalf under UK GDPR. You are the Data Controller. Our processing of delegate data is governed by our Privacy Policy and any applicable Data Processing Agreement.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorised access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload viruses, malware, or other harmful code
  • Use the Service to send unsolicited communications (spam)
  • Resell or redistribute the Service without our written consent
  • Reverse engineer, decompile, or disassemble any part of the Service

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Progressa Ltd and protected by intellectual property laws. Nothing in these Terms grants you any right to our trademarks, logos, or brand elements, except as necessary to use the Service.

9. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Clerk (authentication), Uploadthing (file storage), Resend (email delivery), and Neon (database hosting). Your use of these integrations is subject to the respective third-party terms. We are not liable for any third-party service outages or changes.

10. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by English law.

12. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees when due, or if required by law. Upon termination, you may request an export of Your Data within 30 days. After 30 days, we may delete Your Data.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
